Nominations to the International Board and UWC Council 2011

Responsibility for nominations to membership of UWC’s two governing bodies, the International Board and the UWC Council, rests with the Board’s Nominating and Governance Committee.

The Nominating and Governance Committee welcomes nominations for possible members at all times, but has agreed on an annual process for the consideration of nominations. The deadline for the 2011 process 18

Any member of the UWC movement can nominate individuals for membership of the International Board and UWC Council. When considering nominations, the Nominating and Governance Committee will take into account the requirements of UWC International’s Memorandum & Articles of Association (its statutes or constitution), guidelines intended to
encourage a diversity of membership, current vacancies and current gaps in skills and experience.

The UWC Council has up to 60 members and the Nominating and Governance Committee must ensure that at least 12 of these members have national committee experience and at least 12 are UWC alumni. The UWC Council meets once each year and its main focus is on issues of
strategic, developmental or philosophical importance for UWC. The ability to attend one meeting a year is the minimum commitment, but many members will also serve on committees, and engage with projects and functions between meetings.

The International Board has up to 16 members, of whom at least three must have national committee experience and at least five must be UWC alumni. The members of the Board are the Directors and Trustees of UWC International and assume the legal, financial and fiduciary responsibilities associated with these offices. The Board will usually meet at least three times a year in person and additionally by remote means, and members are expected to continue their work between formal meetings; most will also serve on committees and take responsibility for other aspects of the Board’s work. New Board members will often be drawn from the existing membership of the UWC Council.

In 2011, the Nominating and Governance Committee will be seeking to fill a very limited number of vacancies, to serve from 1 January 2012. In order to build into the governance structures a diversity of skill sets, experience and interests, and mindful of recent retirements, in 2011 the Committee will be looking in particular for nominees with a strong background in education. In
addition, for reasons of balance within the memberships, it will pay particular attention to nominees with limited prior experience of UWC. The Committee is also conscious of the need for diversity, particularly the need for stronger representation of women and greater geographical diversity.

The Nominating and Governance Committee considers all nominations and makes recommendations for election or appointment as appropriate to the International Board and UWC Council.

The Nominating and Governance Committee is chaired by a Board member and comprises four members of the UWC Council who are not members of the Board. The membership is currently: Diana Maughan (Chair), Paulina Gándara Riofrío (UWC Pearson College 74-76), Theotonio Monteiro de Barros (UWC-USA 83-85), Fayyaz Nurmohamed (UWC Adriatic 88-90) and Einar Steensnaes.

A nomination should be accompanied where possible by a CV/resumé and a statement giving reasons for the nomination and an outline of how the individual could contribute to UWC International’s governance. In situations other than self-nomination, it will be assumed that the individual being nominated is aware of and agrees to the nomination; if this is not the case, this should be indicated.

Nominations to be considered during 2011 should be submitted by 18 April 2011.

Note for those making nominations
The role of the proposer of a nomination is primarily to make a suggestion for membership of the UWC Council or UWC International Board, and the Nominating and Governance Committee undertakes to consider all nominations which it receives. A proposer should not give any indication to a nominee about the likely success or otherwise of the nomination; it will often be the case that otherwise well-qualified nominees will not meet the current criteria identified by the Nominating and Governance Committee to build further diversity, fill gaps and strengthen areas of weakness.

The Nominating and Governance Committee will decide on those nominees whom it would like to consider further and will explore the expectations and responsibilities of membership with these potential candidates. The proposer of the nomination should not normally be involved in this process, but can expect to be kept informed of the outcome, in particular whether a nominee is being recommended for membership, held for future consideration or not being considered further.
